Welcome to the website of RADPAIR Corp. (“RADPAIR,” “we,” “us,” or “our”). These Website Terms of Use (“Terms”) govern your access to and use of our public-facing website located at www.radpair.com and any other informational websites or web pages that link to these Terms (collectively, the “Site”).
Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.
1. Relationship to Enterprise Agreements
These Terms govern your use of the informational and marketing pages of the Site. RADPAIR provides a proprietary cloud-based system combining AI technology and radiologist input for automated reporting (the “Software Services”). Access to and use of the Software Services is not governed by these Terms; rather, it is strictly governed by a fully executed Commercial Agreement between RADPAIR and its enterprise clients, and the accompanying End User License Agreement (EULA) accepted by authorized end users. In the event of any conflict between these Terms and a Commercial Agreement or EULA, the terms of the Commercial Agreement or EULA shall control.
2. Informational Purposes Only; No Medical Advice
The content provided on the Site is for general informational purposes only. RADPAIR develops supportive documentation tools for qualified medical professionals. The Site itself, and any information contained herein, does not constitute medical advice, diagnosis, or treatment. RADPAIR is not a healthcare provider, and nothing on this Site should be relied upon as a substitute for the professional judgment of a qualified healthcare provider.
3. Privacy Policy
All information we collect on this Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. If you do not agree with our data practices, you must not use this Site.
4. Intellectual Property Rights
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by RADPAIR, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site strictly for your personal, non-commercial inquiry into RADPAIR’s products and services.
5. Prohibited Conduct
As a condition of your use of the Site, you agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. You specifically agree not to:

RADPAIR DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL RADPAIR, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
8. Changes to the Terms
RADPAIR reserves the right to modify these Terms at any time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
9. Governing Law and Jurisdiction
All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal or state courts located in the State of Delaware.
